Our client is seeking a proactive and meticulous Senior Legal Counsel to join their Legal and Compliance team in BGC, Taguig.

This pivotal role requires deep expertise in Philippine securities law and the ability to deliver high-quality legal support across the firm’s operations. The successful candidate will collaborate closely with regional legal colleagues and the finance team to ensure regulatory compliance, provide strategic counsel for mergers and acquisitions, and support the firm’s broader business objectives.

What You'll Do

As a Senior Manager in Legal, your role will be multifaceted. You will serve as an expert on Philippine laws, providing authoritative advice on transactions involving Philippine entities or jurisdictions. Your comprehensive legal guidance will span across corporate governance, regulatory matters, contract management, among other critical areas. You will also coordinate with external counsel for transactional support or dispute resolution when necessary. Your responsibilities will extend to drafting, reviewing, negotiating contracts and conducting thorough legal research. Ensuring adherence to Philippine securities laws will be a key part of your role. You will act as a liaison with regulatory bodies while overseeing filings and compliance obligations. Your role will also involve designing robust compliance policies to minimize legal risks.

• Act as the firm’s liaison with regulatory bodies, managing filings, submissions, and compliance obligations.
• Coordinate with external counsel for transactional support or dispute resolution.
• Conduct in-depth legal research and analysis to support strategic decision-making.
• Design and implement compliance policies and procedures to mitigate legal risks.
• Draft, review, and negotiate contracts, agreements, and other legal documents.
• Ensure compliance with Philippine securities laws and relevant regulations in other jurisdictions.
• Offer legal guidance on corporate governance, regulatory matters, and contract management.
• Provide compliance advice on transactions involving Philippine entities or jurisdictions.
• Serve as the primary expert on Philippine laws, keeping the regional legal team informed of local regulatory updates.
• Maintain accurate corporate records and ensure adherence to governance standards under Philippine law.
  
  

What You Bring

As a Senior Manager in Legal, you bring a wealth of legal experience to the table. Your Juris Doctor (J.D.) or equivalent law degree from a reputable institution, coupled with at least 5 years of experience in financial services, investment management, or a related field, makes you an ideal candidate for this role. Your in-depth knowledge of Philippine securities law will be crucial in this role. You possess exceptional legal research skills and have proven expertise in drafting and negotiation. Your ability to thrive both independently and as part of a collaborative team will be highly valued. Above all, your uncompromising integrity and commitment to professionalism set you apart.

• Admission to the Philippine Bar with a Juris Doctor (J.D.) or equivalent law degree from a reputable institution.
• At least 5 years of post-qualification experience (PQE) in investment management, wealth management, venture capital, or private equity.
• Comprehensive knowledge of Philippine labor laws and employment regulations.
• In-depth expertise in Philippine securities law, including incorporation processes (BIR and SEC).
• Proven experience in corporate housekeeping and cross-border mergers & acquisitions (M&A).
• Solid understanding of risk management principles in a legal and regulatory context.
• Strong contract negotiation and drafting skills across various legal agreements.
• Track record of advising on regulatory compliance and corporate governance matters.
