OB DESCRIPTION

CORPORATE COUNSEL


Will provide legal support services to CCF's entire network of companies, specifically on contract management, corporate housekeeping, compliance, tax advisory, special projects management, legal advisory services, and client management.


1. Attend to corporate legal matters and special projects of Christ’s Commission Foundation, Inc. (“CCFI”), Christ’s Commission Foundation Ministries Inc. (“CCFMI”), and other affiliate organizations, including, but not limited to:


Corporate Housekeeping:

Monthly Board Meeting (Attendance, drafting of the Agenda, follow up and follow through the items discussed during the meeting, recording of the Minutes of the meeting)

Drafting or reviewing of Secretary’s Certificate, Notice of Meetings, Trustee’s Certificate, Board Resolution

Filing of SEC reportorial requirements (General Information Sheet, Certificate of Existing Projects, assistance in filing the Annual Financial Statements and other documents as necessary)

Maintaining and updating Corporate Records (Articles of Incorporation, By-Laws, SEC Certificate of Incorporation, Business Permit, BIR Registration, Corporate Seal, SEC Notices, BIR Notices, PCNC Accreditation, etc.)

Contract Management (Service Contracts, Real Estate Contracts, Construction Contracts, Financial Contracts, Confidentiality and Non-disclosure Agreements, Memorandum of Agreements, Deeds of Sales, Deeds of Donations, Labor and Employment Contracts etc.)

Process and document Legal Requests and Document Requests based on LRF Process; monitor the flow of the contract review and approval process

Perform review or drafting of all contracts, agreements, memoranda, deeds and forms

Negotiations and communications with counterparties in contracts and agreements

Securing approval of approving authorities for the processing and execution of contracts

Custody and recording of all contracts

Updating of Contract Templates


Compliance

Assist the Legal Manager in exercising oversight over compliance and regulatory matters

Provide legal support to Compliance Team to help ensure regulatory and legal compliance with all government agency requirements particularly SEC, BIR, LGU, DOLE, PCEC and National Privacy Commission

Keep organization updated with all new legal and regulatory issuances relevant to the organization’s operations

Help ensure transactions and activities of departments, satellites and ministries comply with regulatory and legal requirements

Help enforce CCF’s Data Privacy Policies


Tax

Provide legal advice on tax matters

Collaborate with Finance Department on tax issues affecting the organization

Oversee tax cases and advice management on appropriate courses of action


Litigation and Special Projects

Execute or implement any special project as may be assigned by the Mancom, the Executive Director or Legal Manager

Draft and prepare legal submissions, status report

Organize and keep record of all litigation files

Represent CCF in hearings, meetings or appearances before the court or other government offices


Client management

Assist in addressing legal queries

Provide legal support as may be required by other departments, ministries and satellites

Provide legal opinion or advice whenever useful and beneficial to management, other departments, ministries and satellites.


Conduct regular legal audit of the contracts prepared by requestors and their compliance with internal processes.


2. Maintain and regularly update Contract Database for Lease Contracts, LRFs and Service Contracts. Ensure relevant stakeholder is timely informed of important milestones and provisions of the contract.


3. Manage the Contract Submission Form Database and follow up with Satellites on the completion of the required documents


4. Participate in all meetings and trainings of the Legal Department.


5. Participate in all meetings, activities, trainings and retreats held by the organization.


6. Such other tasks and responsibilities as management may assign from time to time
